Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of BuzzBot Leads, a service operated by BuzzBot Vending LLC ("BuzzBot," "we," "us," or "our"). By creating an account, checking the acceptance box, accessing, or using the Service, you agree to these Terms and acknowledge our Privacy Policy.

If you use the Service for a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a binding agreement. BuzzBot Leads is currently intended for business use in the United States. You are responsible for providing accurate account information, protecting your login credentials, and all activity conducted through your account or connected mailboxes.

3. The Service

BuzzBot Leads provides tools for business discovery, business and professional contact research, customer relationship management, email templates, mailbox connections, outreach scheduling, email delivery, reply and bounce processing, suppression, and related business-development workflows.

Features may change over time. We may add, modify, restrict, suspend, or discontinue features when reasonably necessary to operate, secure, or improve the Service.

4. Business and contact research

Research results may come from publicly available sources and third-party providers. BuzzBot Leads does not guarantee that any business or contact information is complete, current, accurate, deliverable, or appropriate for a particular use.

You are responsible for deciding whether you may lawfully use any business or contact information and for complying with laws, contractual restrictions, platform rules, and industry requirements that apply to your use.

5. Your outreach and CAN-SPAM responsibility

You control the communications sent through your account. You are solely responsible for the content, recipients, sender identity, subject lines, disclosures, signatures, footers, mailing addresses, opt-out language, and other information in your messages, and for determining whether your communications are lawful.

You agree to comply with the CAN-SPAM Act and all other laws and rules applicable to your outreach. Depending on the message and applicable law, your responsibilities may include using accurate sender and header information, avoiding deceptive subject lines, identifying commercial messages when required, including a valid physical postal address, providing a functioning opt-out method, and honoring opt-out requests within the legally required period.

BuzzBot Leads may provide templates, editable wording, defaults, organization-specific suppression tools, unsubscribe processing, bounce handling, and other compliance-related features. These tools are provided for convenience and do not guarantee that your communications comply with law. You remain responsible for reviewing and controlling what you send.

6. Acceptable Use Policy

You may not use BuzzBot Leads to:

• Send unlawful spam or communications that violate applicable marketing, privacy, consumer-protection, or communications laws.
• Use false or materially misleading sender information, routing information, identities, subject lines, or representations.
• Continue contacting a recipient after that recipient has opted out where further contact is prohibited.
• Bypass, disable, manipulate, or evade your organization's suppression, unsubscribe, bounce, abuse-prevention, sending-limit, or security controls.
• Impersonate another person or business without authorization.
• Send phishing, malware, malicious attachments, fraudulent offers, threats, harassment, or other unlawful or harmful material.
• Use stolen credentials, unlawfully obtained data, or contact lists you do not have the right to use.
• Collect, upload, disclose, or use personal information in violation of applicable privacy law or another person's rights.
• Attempt to gain unauthorized access to the Service, another account, connected systems, or data.
• Reverse engineer, interfere with, overload, probe, or disrupt the Service except to the extent such a restriction is prohibited by law.
• Use the Service to evade mailbox-provider, network, platform, or legal restrictions.
• Resell, sublicense, or provide unauthorized third-party access to the Service.

We may investigate suspected violations and may limit, suspend, or terminate access when we reasonably believe use of the Service creates legal, security, deliverability, reputational, or operational risk.

7. Connected mailboxes and third-party services

You may connect third-party services such as email accounts. You represent that you are authorized to connect and use each account. Your use of third-party services remains subject to their terms and policies.

BuzzBot Leads may rely on providers such as Nylas, Shopify, hosting providers, research providers, and other infrastructure vendors. We are not responsible for outages, restrictions, changes, or acts of third-party services outside our reasonable control.

8. Your content and data

You retain your rights in content and data you submit to the Service. You grant BuzzBot a limited right to host, process, transmit, reproduce, and otherwise use that content and data as necessary to provide, secure, support, and improve the Service and to comply with law.

You represent that you have the rights and permissions necessary for information you upload, connect, direct us to process, or use through the Service.

9. Subscriptions, credits, and billing

Paid plans, credits, limits, renewal terms, and charges are presented through the Service or the applicable checkout flow. You are responsible for charges you authorize. Credits and usage allowances may be subject to plan-specific rules displayed in the Service.

10. Intellectual property

BuzzBot Leads, including its software, interfaces, branding, design, documentation, and other proprietary materials, is owned by BuzzBot or its licensors and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

11. Service availability

We work to keep BuzzBot Leads available and reliable, but we do not guarantee uninterrupted or error-free operation, any particular delivery rate, research result, response rate, business outcome, or availability of a third-party integration.

12. No legal or compliance advice

BuzzBot Leads is software, not a law firm or legal service. Templates, warnings, defaults, research tools, suppression features, and other compliance-related functionality are not legal advice. You are responsible for obtaining professional advice when needed for your business or outreach practices.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." BuzzBot disclaims warranties of merchantability, fitness for a particular purpose, noninfringement, and any warranties arising from course of dealing or usage of trade. Some jurisdictions do not allow certain disclaimers, so some of these terms may not apply to you.

14. Limitation of liability

To the maximum extent permitted by law, BuzzBot and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunities, reputational harm, email-provider actions, or business interruption arising from or related to the Service.

To the maximum extent permitted by law, BuzzBot's total liability for claims arising from or related to the Service will not exceed the amount you paid to BuzzBot Leads during the six months immediately before the event giving rise to the claim. This limitation does not apply where applicable law does not permit it.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless BuzzBot and its owners, employees, contractors, and affiliates from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from your content, your outreach, your violation of these Terms, your violation of law, or your infringement of another person's rights.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, nonpayment, abuse, fraud, security concerns, legal requirements, or material risk to BuzzBot, our providers, our users, or third parties. Sections that by their nature should survive termination will survive.

17. Governing law and venue

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from these Terms or the Service will be brought in the state or federal courts located in Tulsa County, Oklahoma, and the parties consent to jurisdiction and venue there.

18. Changes to these Terms

We may update these Terms as the Service changes. We will post the updated Terms with a new effective date. If a change is material, we may provide additional notice when appropriate. Continued use of the Service after updated Terms take effect constitutes acceptance where permitted by law.
